Shenas & Clark, Incorporated successfully concluded its representation of the sole stockholder of Global Microwave Systems, Inc. in connection with the sale of shares to The Allied Defense Group, Inc. Global Microwave Systems designs and manufactures miniature and sub-miniature FM and digital transmitters, receivers, and related equipment for investigative, surveillance, and security applications, and live TV news/sports/entertainment coverage. The company's products are also used within the Federal law enforcement community as well as for organized crime, narcotics, and anti-terrorism investigations and prosecutions. The Allied Defense Group is a publicly traded international defense and security firm. Subsequent to the transaction, The Allied Defense Group announced that Global Microwave Systems' calendar year 2005 revenue is expected to exceed $10-$11.5 million with EBIT of $3.0-$3.5 million prior to any deal related closing costs.
