Assa Abloy Acquisition of Indala Corporation

George P. Shenas, Incorporated recently completed its representation of Assa Abloy AB, a publicly held Swedish company (see http://www.assaabloy.com) in connection with Assa's successful asset acquisition of Indala Corporation (see http://www.indala.com), the worldwide RFID Access Control business of Motorola. George Shenas acted as lead corporated counsel in the negotiation of the acquisition, and Jeff Clark led the due diligence team.
Working with the firm in the negotiation of the transaction were Littler, Mendelson (employee matters), Sheridan Ross (intellectual property) and Wiggin & Dana (antitrust and environmental matters). Brobeck, Phleger & Harrison represented Motorola in the transaction. The transaction closed on October 31, 2001.
In January, 2001, the firm participated in the representation of HID Corporation and Palomar Technological Corporation in connection with their merger into Assa Abloy.
Over the past four years, the firm has represented clients in the negotiation of mergers, acquisitions and dispositions involving approximately $580,000,000.
