The firm is very actively engaged in the practice of corporate and securities law, ranging from the most fundamental to the most complex matters.
At the very inception of representing a new business enterprise, decisions must be made concerning the selection of the proper form of entity to employ for a fledgling business. This decision calls into play the long experience of the firm's members in weighing all factors which go into making that decision, including tax, liability, securities, financing and other issues.
As a business begins to grow, its need for additional capital requires the careful analysis of the firm's attorneys in considering with the client the various financing options available to the client, and in many cases directing the client to various financing sources. As the client develops financing possibilities, the firm becomes directly involved in the development of all documents necessary to complete the financing. This can take the form of a negotiated loan agreement with an institutional or private lender or, if a securities offering is proposed, the firm will direct the client through the maze of securities regulations, including assisting the client with the preparation of appropriate offering memoranda, subscription documentation, etc.
In the last eight years the firm has represented clients in connection with sixteen (16) different stock offerings totaling over $63,000,000.00. These transactions have ranged from mezzanine financing for an industrial corporation experiencing substantial capital requirements to finance growth, to real estate syndication offerings for a real estate developer and for an investment banking firm packaging real estate investments for its clients.
